Welcome to VendorCue. These Terms & Conditions ("Terms") govern your use of the VendorCue mobile application, website, and related services. By accessing or using VendorCue, you agree to comply with these Terms. If you do not agree, please do not use the service.

Eligibility

VendorCue is intended for businesses, vendors, exhibitors, and event sellers. You must be at least 18 years of age or have the legal authority to enter into a binding agreement on behalf of your business.

Vendor Accounts

VendorCue accounts are created and managed by VendorCue administrators. Access to the application requires a valid account and an active license. You are responsible for maintaining the confidentiality of your account credentials and for all activities performed under your account.

Licensing

VendorCue operates on a licensed subscription model. Access may be suspended or revoked if a subscription expires, a license is terminated, payment obligations are not met, or the account violates these Terms.

When internet access is available, the application may verify your account status automatically. VendorCue may allow limited offline access during a defined grace period, after which internet verification may be required.

Offline Usage

VendorCue is designed to function without an active internet connection. Sales and event data entered while offline are stored securely on the device and synchronized automatically when an internet connection becomes available.

Users are responsible for ensuring their devices are periodically connected to the internet to maintain synchronization and license verification.

Acceptable Use

You agree not to misuse VendorCue or attempt to interfere with its operation. This includes, but is not limited to, attempting to bypass licensing restrictions, reverse engineering the application, modifying security mechanisms, distributing unauthorized copies, or using the platform for unlawful activities.

Data Ownership

You retain ownership of the business information you enter into VendorCue, including sales records, event information, and related business data. By using VendorCue, you grant us permission to process and store this information solely for providing and improving the service.

Service Availability

While we strive to maintain uninterrupted service, VendorCue does not guarantee continuous availability. Maintenance, software updates, internet outages, or circumstances beyond our control may temporarily affect service availability.

Application Updates

VendorCue may release updates, improvements, security patches, and new features. Certain updates may be mandatory to maintain compatibility, security, or continued access to the service.

Payments

Subscription fees, trial periods, and payment terms are determined by VendorCue. Failure to pay applicable fees may result in suspension or termination of your license. Unless otherwise stated, payments are non-refundable.

Intellectual Property

VendorCue, including its software, branding, design, logos, documentation, and related content, is the intellectual property of VendorCue and is protected by applicable copyright, trademark, and intellectual property laws.

You may not copy, distribute, modify, or reproduce any part of VendorCue without prior written permission.

Limitation of Liability

To the maximum extent permitted by law, VendorCue shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the service, including loss of business, revenue, profits, or data.

Disclaimer

VendorCue is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. While we work to provide a reliable platform, we do not guarantee that the service will always be error-free or uninterrupted.

Termination

We reserve the right to suspend or terminate accounts that violate these Terms, misuse the platform, engage in fraudulent activities, or fail to comply with licensing requirements.

Termination of access does not automatically delete locally stored business records unless the user chooses to remove them.

Changes to These Terms

VendorCue may update these Terms & Conditions from time to time. Updated versions become effective upon publication within the application or on our website. Continued use of VendorCue after changes constitutes acceptance of the revised Terms.

Governing Law

These Terms shall be governed by and interpreted in accordance with the laws applicable in the jurisdiction where VendorCue operates, without regard to conflict of law principles.
